Terms of Service

Acceptance of terms

These Terms of Service (“Terms”) govern your access to and use of Ether, operated by Ether (“we,” “us,” or “our”), including our website at tryether.ai and related applications (collectively, the “Service”). By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

Service description

Ether is an AI-assisted workflow and delegation product that helps you manage tasks, communications, and automated workflows. The Service may include web and mobile interfaces, integrations with third-party tools, and SMS text messaging as a communication channel for authentication, notifications, and two-way interaction with the product.

We may modify, suspend, or discontinue features of the Service at any time. We do not guarantee uninterrupted or error-free operation.

Account and phone authentication

To use certain features, you must register with a valid mobile phone number that you control. You agree to provide accurate information and keep it current. You are responsible for maintaining the security of your device and any credentials associated with your account.

You are responsible for all activity that occurs under your account. Notify us immediately at support@tryether.ai if you suspect unauthorized access.

SMS terms

By checking the SMS consent box on our login screen before requesting a verification code, you agree to receive transactional text messages from Ether at the phone number you provide.

Transactional messages only. We send SMS for login verification (OTP), account and workflow notifications related to your use of the Service, and replies to messages you send to our Service number. We do not send promotional or marketing SMS unless you separately opt in to marketing messages.

Message frequency and charges. Message frequency varies based on your activity. Message and data rates may apply.

Opt-out and help. Reply STOP to cancel SMS from us. Reply HELP for help or contact support@tryether.ai.

Consent required. We will not send SMS to your number until you affirmatively opt in via the unchecked consent box on login and agree to these Terms and our Privacy Policy.

Lawful use. You must not use the SMS channel to transmit unlawful, harassing, fraudulent, or abusive content, or to violate any applicable law or third-party rights.

Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable laws or regulations;
  • Send spam, unsolicited messages, or content that is harassing, threatening, defamatory, or obscene;
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems or networks;
  • Reverse engineer, scrape, or interfere with the proper functioning of the Service except as permitted by law;
  • Use the Service to process or store sensitive personal data without appropriate authority and safeguards; or
  • Misrepresent your identity or affiliation, or provide false contact information.

We may investigate violations and suspend or terminate access at our discretion.

Intellectual property

The Service, including its software, design, trademarks, and content (excluding content you provide), is owned by Ether or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose, subject to these Terms.

You retain ownership of content you submit. You grant us a license to use, process, and transmit that content as necessary to operate and improve the Service.

Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR SUITABLE FOR ANY PARTICULAR PURPOSE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Ether AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations of liability; in those jurisdictions, our liability is limited to the fullest extent permitted by law.

Indemnification

You agree to indemnify and hold harmless Ether and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms or applicable law.

Termination

You may stop using the Service at any time. We may suspend or terminate your access immediately if you violate these Terms, if required by law, or if we discontinue the Service. Upon termination, provisions that by their nature should survive (including disclaimers, limitations of liability, and governing law) will remain in effect.

Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Except where prohibited, exclusive jurisdiction for disputes arising from these Terms or the Service lies in the state or federal courts located in Delaware, United States, and you consent to personal jurisdiction there.

Changes to these terms

We may update these Terms from time to time. We will post the revised Terms with an updated effective date. Material changes may be communicated through the Service. Continued use after changes take effect constitutes acceptance.
